Terms & Conditions

Triplebot, Lda | Portugal | geral@triplebot.pt | Edition: June 2026

1. Scope and Acceptance

Triplebot, Lda, a legal entity headquartered in Portugal, is responsible for the commercialisation of the products and services made available through its commercial channels. The completion of any purchase implies full knowledge and irrevocable acceptance of these General Terms and Conditions. These General Terms and Conditions prevail over all customer documents, including purchase conditions or order notes, unless Triplebot, Lda expressly agrees in writing to different conditions. Triplebot, Lda may revise the General Terms and Conditions at any time without prior notice, with changes taking immediate effect for new transactions.

2. Formation of the Purchase Contract

Any proposal submitted by the customer constitutes a mere expression of interest, without binding effect on Triplebot, Lda. The purchase and sale contract is only considered concluded when Triplebot, Lda expressly confirms receipt and acceptance of the order, in writing or by electronic means. Triplebot, Lda reserves the right to refuse orders without justification, namely in cases of stock unavailability, incorrect billing data or suspicion of misuse.

3. Prices and Billing Conditions

Prices published in commercial proposals do not include transport costs, insurance, customs duties or any other mandatory taxes or charges, which are entirely borne by the buyer. Typographical or system errors in displayed prices do not bind Triplebot, Lda. Whenever a relevant pricing error is detected, Triplebot, Lda will notify the customer before proceeding with shipment and may cancel or reformulate the order. Ownership of the goods supplied remains with Triplebot, Lda until full payment of the respective price, including any interest and ancillary charges due.

4. Order Processing and Logistics

Triplebot, Lda undertakes to process orders with the necessary diligence, respecting internal operational deadlines. Shipment or delivery deadlines mentioned in any communication are indicative in nature and do not constitute a contractual obligation of result. Failure to meet an indicative deadline does not entitle the customer to cancel the contract or claim compensation, except where the delay is attributable to gross negligence or intentional misconduct by Triplebot, Lda. Triplebot, Lda may make split deliveries and selects the logistics operator according to efficiency and cost criteria, unless prior written specification is provided by the customer. Transport risks are transferred to the buyer when the goods are delivered to the first carrier.

5. Items with Deferred Availability

If an order includes both in-stock items and items with deferred availability, Triplebot, Lda may choose to ship the available items immediately and the remainder at a later stage. For international orders, Triplebot, Lda may wait for the availability of all items before proceeding with shipment. The buyer is informed of the estimated availability timeframe for the missing items. Invoicing of items with deferred availability occurs at the time of their receipt in the warehouse.

6. Reception Obligations and Claims

The buyer must inspect the goods upon receipt, assessing the correspondence between the product received and the one ordered, as well as its condition. Any apparent non-conformity must be communicated to Triplebot, Lda in writing within a maximum of seven (7) calendar days from the date of receipt. Non-visible defects at the time of receipt must be reported within seven (7) days of their detection. Incorporation, transformation or commercial use of the goods by the buyer after receipt is equivalent to full acceptance thereof. No claim suspends or justifies the deferral of payment obligations. The right to claim for non-conformity or defect expires after twelve (12) months from the delivery date.

7. Return Conditions

The return of goods requires prior written authorisation issued by Triplebot, Lda. The authorisation request must be submitted via email to geral@triplebot.pt, describing the reason for return and the condition of the goods. Since most products are manufactured and configured from scratch for each specific order, returns for mere buyer convenience are not accepted. Only goods with proven manufacturing defects or that do not correspond to the contractually defined specifications are eligible for return. Goods to be returned must be delivered unused, in intact original packaging, without signs of wear, intervention or modification.

8. Technical Specifications and Tolerances

Goods supplied by Triplebot, Lda meet the technical specifications set out in the official product documentation or those reasonably expected given the nature of the goods. Minor variations in attributes such as colour, dimension, texture, weight or surface finish, within the usual limits of production, do not constitute non-conformity. Technical documentation, product data sheets, catalogues or marketing content are for informational purposes only. The buyer is responsible for carrying out adequate validation tests before incorporating the goods into their production or commercial process.

9. Commercial Warranty

Triplebot, Lda grants a commercial warranty of twelve (12) months covering material and manufacturing defects, counted from the date of delivery to the buyer. This warranty is exercised exclusively through replacement of the defective item, at no cost to the buyer, provided the defect manifests under normal conditions of use and maintenance. Excluded from this warranty are: damage caused by improper handling, unauthorised installation, modifications made without prior approval, exposure to abnormal external agents, inadequate or non-existent maintenance, and use outside the intended operational conditions.

10. Limitation of Civil Liability

The civil liability of Triplebot, Lda towards the buyer, regardless of the basis — contractual, non-contractual or legal — shall not in any case exceed the amount actually paid by the buyer for the goods that gave rise to the dispute. Triplebot, Lda is not liable for indirect damages, loss of revenue or production, loss of profits, damage to commercial reputation, or for claims brought by third parties against the buyer. The exclusive remedy available to the buyer for defects or non-conformities is the replacement of the affected goods.

11. International Trade Regulations

Goods traded by Triplebot, Lda may be subject to EU legislation on export controls, economic sanctions or international trade restrictions. The buyer assumes full responsibility for compliance with applicable regulations in their jurisdiction and confirms that the purchased goods are intended for own use within the European Union territory. Re-export to third countries without prior written authorisation from Triplebot, Lda is expressly prohibited.

15. Force Majeure and External Disruptions

Triplebot, Lda is exempt from liability for non-performance or late performance of its obligations when attributable to external, unforeseeable and unavoidable causes, including extreme natural phenomena, fires, armed conflicts, terrorist acts, serious political instability, collective labour disputes, public authority decisions, epidemic outbreaks, or disruptions in the supply chain. In the event of force majeure, Triplebot, Lda notifies the buyer of the situation and deadlines are automatically suspended for the corresponding period.

16. Personal Data Processing

The processing of the buyer's personal data, carried out in the context of commercial relations with Triplebot, Lda, is governed by Regulation (EU) 2016/679 (GDPR) and complementary national legislation, as well as the Triplebot, Lda Privacy Policy, accessible on the website. Data is processed for the purposes necessary for contract execution, compliance with legal obligations and, with express consent, for commercial communications.

17. Dispute Resolution and Applicable Law

These General Terms and Conditions and all contracts arising therefrom are governed by Portuguese law. Any disagreement or dispute arising from their interpretation, execution or breach shall be submitted exclusively to the Portuguese courts with territorial jurisdiction for the registered office of Triplebot, Lda. Without prejudice to judicial proceedings, the parties undertake to make good-faith efforts to resolve disputes amicably within thirty (30) days of formal notification of the dispute.

18. Supplementary Provisions

The nullity or ineffectiveness of any clause of these General Terms and Conditions does not affect the validity of the remaining clauses, which remain in full force. Triplebot, Lda may assign its rights and obligations to an entity within the same corporate group without the buyer's authorisation. Tolerance or inaction by Triplebot, Lda regarding any breach does not imply waiver of the corresponding future rights. Triplebot, Lda · Portugal · geral@triplebot.pt
